Marketplace Seller Agreement

This Marketplace Seller Agreement ("Agreement") is a legal contract between you ("Seller") and LPM ("Platform", "we", "us"). By listing a package for sale on the LPM marketplace or enrolling in the Pool revenue-sharing program, you agree to the terms below. This Agreement supplements our Terms of Service.
1. Eligibility
To sell on LPM, you must:
- Have a registered LPM account in good standing
- Be at least 18 years of age (or the age of majority in your jurisdiction)
- Have a valid Stripe Connect account linked to your LPM account
- Not be located in a country subject to US sanctions (see our Terms of Service, Section 8)
- Comply with all applicable laws in your jurisdiction
Organizations selling on LPM must have a designated account owner who meets these requirements.
2. Seller Obligations
As a Seller, you represent and warrant that:
- You own or have the right to distribute and license every package you list
- Your packages do not infringe any third-party intellectual property, trade secret, or proprietary right
- Your packages comply with our Acceptable Use Policy
- Any description, metadata, or documentation you provide is accurate and not misleading
- You will respond to buyer support inquiries in a reasonable timeframe
3. Distribution Modes
LPM supports three distribution modes for packages. Once a package is set to Marketplace or Pool, it cannot be reverted to a less restrictive mode.

You are responsible for selecting the appropriate distribution mode for each package. See Distribution Modes for details.
4. Pricing (Marketplace)
For Marketplace packages:
- You set the price for your package in US dollars
- LPM charges a platform fee on each sale, deducted before payout:

- Stripe payment processing fees are additional and deducted by Stripe
- You may change your price at any time; existing licenses are unaffected
- LPM reserves the right to display original and discounted pricing for promotional campaigns, but will not lower your price without your consent
5. Pool Revenue Sharing
For packages enrolled in the Pool program:
- Pool subscribers pay $12.00/month for unlimited access to all Pool packages
- The Platform retains 20% of Pool revenue; 80% is distributed to authors
- Revenue is allocated per subscriber based on their actual package usage (per-user distribution model)
- Payouts are processed on the 5th of each month for the previous month's earnings
- A minimum balance of $10.00 is required before a payout is issued; amounts below this threshold roll over to the next month
- Dependency depth is factored into revenue allocation - packages used as transitive dependencies receive a weighted share

6. Payouts
- All payouts are processed through Stripe Connect
- You must complete Stripe's identity verification and onboarding to receive payouts
- Payouts are sent to the bank account or debit card configured in your Stripe Connect account
- LPM is not responsible for delays caused by Stripe, your bank, or incomplete account information
- If a payout fails, we will notify you by email and retry on the next payout cycle
- LPM reserves the right to withhold payouts if we suspect fraud, policy violations, or disputed transactions
7. Taxes
- You are solely responsible for reporting and paying all taxes on your earnings, including income tax, VAT, GST, and any other applicable taxes
- LPM does not withhold taxes on your behalf unless required by law
- You agree to provide accurate tax information (such as a W-9 or W-8BEN form) if requested
- For US-based sellers, LPM may issue tax reporting forms (e.g., 1099-K) as required by the IRS when your earnings exceed applicable thresholds
- If required by your jurisdiction, you are responsible for collecting and remitting VAT/GST on your sales
8. Intellectual Property
- You retain full ownership of the packages you publish
- By listing a package on LPM, you grant us a non-exclusive, worldwide license to host, distribute, display, and promote your package in connection with the LPM service
- This license terminates when you remove your package from the platform, subject to existing buyer licenses
- Buyers of Marketplace packages receive a license as described in our Commercial Licenses documentation
- Pool packages are licensed to subscribers for the duration of their active subscription
9. Refunds and Disputes
- Buyers may request a refund within 14 days of purchase for Marketplace packages
- Refund requests are reviewed on a case-by-case basis
- If a refund is granted, the platform fee and payout for that transaction will be reversed
- For disputed charges (chargebacks), LPM may deduct the disputed amount from your future payouts
- You agree to cooperate with LPM in resolving disputes, including providing evidence of delivery and license fulfillment
- Excessive refund rates or disputes may result in review or suspension of your seller privileges
10. Prohibited Conduct
In addition to our Acceptable Use Policy, Sellers must not:
- Manipulate download counts, install metrics, or Pool revenue calculations
- Create fake accounts or use automated systems to inflate usage statistics
- Publish packages that serve no purpose other than gaming the revenue-sharing system
- Engage in self-dealing patterns designed to exploit dependency-based revenue weighting
- Misrepresent the functionality, compatibility, or contents of a package
- Include hidden functionality such as cryptocurrency miners, data exfiltration, or telemetry not disclosed in the package description
Violations may result in immediate removal of packages, forfeiture of unpaid earnings, and account termination.
11. Package Removal and Suspension
- You may remove your packages at any time, subject to existing buyer obligations
- LPM may remove packages or suspend seller privileges if:
- We receive a valid DMCA takedown notice
- The package violates this Agreement or our policies
- We detect fraudulent or abusive activity
- Required by law or regulation
- Upon removal, existing Marketplace buyers retain their licenses; Pool access ceases at the end of the current billing period
12. Limitation of Liability
- LPM provides the marketplace platform "as is" and does not guarantee any level of sales or revenue
- We are not liable for lost profits, revenue fluctuations, or changes to the Pool distribution formula
- Our total liability to you for any claim arising from this Agreement is limited to the fees we collected from you in the 12 months prior to the claim
- LPM is not responsible for buyer misuse of your packages
13. Termination
- Either party may terminate this Agreement at any time
- Upon termination, we will process any outstanding payouts for earned revenue above the minimum threshold
- Sections 7 (Taxes), 8 (Intellectual Property), 9 (Refunds and Disputes), and 12 (Limitation of Liability) survive termination
14. Modifications
We may update this Agreement from time to time. Material changes will be communicated via email or dashboard notification at least 30 days before taking effect. Your continued use of seller features after the effective date constitutes acceptance of the updated terms.
