Marketplace Seller Agreement

This Marketplace Seller Agreement ("Agreement") is between Teamfox LTD, a company registered in England and Wales under company number 09961114 ("Teamfox", "we", "us", or "our"), and the person or organization publishing a package through Marketplace or Pool distribution ("Seller", "Author", or "you").
Teamfox operates the LPM.dev Registry. This Agreement supplements our Terms of Service. If you act for an organization, you represent that you have authority to bind it.
1. Eligibility
To participate, you must:
- Maintain an LPM.dev Registry account in good standing
- Be at least 18 years old or the age of legal majority where you live
- Have authority to accept this Agreement personally or for the Seller
- Complete Stripe Connect onboarding and any required identity, business, payment, or tax verification
- Be legally permitted to sell, license, and receive payment for the package
- Comply with applicable law, sanctions, our Acceptable Use Policy, and package licenses
An organization must have an authorized owner manage its seller and payout settings.
2. Marketplace and Pool Are Different Relationships
Marketplace
For a Marketplace purchase:
- The Seller supplies and licenses the package to the buyer
- Teamfox provides listing, checkout, access-control, Registry delivery, and related platform services
- Stripe creates the charge on the Seller's connected account
- Teamfox receives the stated platform fee
- The Seller remains responsible for the package, its license, support, commercial claims, and obligations allocated to the Seller by law
Teamfox is not the package author or licensor unless a listing expressly identifies Teamfox as such.
Pool
For Pool:
- Teamfox supplies the Pool subscription to subscribers
- Authors make approved Pool packages available through the shared subscription
- Teamfox allocates part of settled Pool subscription revenue among eligible Authors
- An Author does not make a separate sale to each Pool subscriber
Pool revenue is a contractual revenue share, not ownership of subscription receipts or a guaranteed royalty.
3. Seller Obligations
You represent and warrant that:
- You own or control the rights needed to host, scan, market, distribute, and license every submitted package
- The package and its dependencies do not infringe intellectual-property, privacy, confidentiality, or other rights
- Package descriptions, security claims, pricing, compatibility, and documentation are accurate and not misleading
- The package complies with our policies and all applicable licenses
- You will disclose material telemetry, network access, data collection, external services, and security-sensitive behavior
- You will provide reasonable support consistent with the package page and pricing plan
- You will promptly tell us if you lose required rights or discover a serious security or legal issue
4. Distribution Modes
Packages use one of three distribution modes:

Moving a package from Private to Marketplace or Pool is permanent. It cannot return to Private or move between the two public modes.
Public packages cannot be deleted by their Authors. They may be archived or deprecated. Archiving pauses new distribution while existing entitled users retain access to available versions.
5. Package Rights and Buyer Licenses
You retain ownership of your package. You grant Teamfox a non-exclusive, worldwide, royalty-free license to:
- Host, copy, scan, analyze, review, reproduce, display, market, and distribute the package
- Make approved versions available to Pool subscribers or Marketplace buyers
- Preserve and serve versions to existing entitled users after archiving or termination
- Retain security, audit, legal, and transaction evidence
The license continues for as long as reasonably necessary to operate existing entitlements, protect users and the Registry, comply with law, and administer this Agreement.
A Registry entitlement controls package access but is not, by itself, a generated software license. You must include or clearly identify package license terms that define permitted use, modification, seat or organization scope, redistribution, subscription expiry, refunds, and any commercial restrictions.
You must not offer package-page terms that conflict with the package's included license or third-party rights.
6. Marketplace Pricing and Fees
You set each Marketplace pricing plan in United States dollars using the options supported by the dashboard.
The standard platform fee is:

The applicable fee, package, plan, billing model, license scope, quantity, and currency are fixed in the checkout authorization before payment.
Stripe processing, currency-conversion, dispute, payout, and other provider fees can apply separately. You authorize Stripe and Teamfox to deduct or recover applicable fees, refunds, reversals, disputes, negative balances, and adjustments from transaction proceeds or future payouts where permitted.
Changing a price does not change completed one-time purchases or an existing subscription price unless the buyer receives the notice and rights required by law and Stripe's billing rules.
7. Pool Revenue Sharing
The standard Pool subscription is $12 per month before applicable tax.
For each settled contribution:
- 80% is allocated to Authors
- 20% is retained by Teamfox
Author allocation follows the documented per-subscriber usage and dependency-weighting model. Discounts, credits, tax, refunds, missing or ineligible observations, anti-gaming controls, and payment adjustments can change the amount available for allocation.
Payout attempts normally begin on the 5th of each month for the previous period. A balance of at least $10 is required; smaller balances roll forward.
The complete calculation is described in Pool Revenue Sharing. We do not guarantee installs, allocation, revenue, or a minimum payout.
8. Payouts and Reserves
Payouts use Stripe Connect. You must keep payout, identity, and tax information accurate and satisfy Stripe's requirements.
We may delay, withhold, offset, or place a reasonable reserve against amounts where needed to address:
- Refunds, disputes, chargebacks, negative balances, or payment failure
- Suspected fraud, metric manipulation, sanctions, or policy violations
- Conflicting ownership, license, or payment claims
- Missing verification or payout information
- A legal, regulatory, or processor requirement
We will release undisputed amounts when the reason for withholding has been resolved, subject to applicable thresholds and law. We are not responsible for delays caused by Stripe, a financial institution, incorrect information, or legal restrictions outside our reasonable control.
9. Cancellation and Refunds
Paid Subscriptions
A buyer may cancel a recurring Marketplace or Pool subscription through the website. Cancellation prevents future renewal and normally takes effect at the end of the paid billing period. Access continues through that period unless the payment is refunded, reversed, or connected to abuse.
Neither Teamfox nor the Seller is required to refund a payment already made merely because a buyer cancels or stops using a Paid Service. No refund or credit is provided for a partially used billing period, except where applicable law requires otherwise.
Marketplace Purchases
Marketplace purchases are final and non-refundable except:
- Where applicable law requires a refund
- To correct a duplicate, failed, unauthorized, or invalid transaction
- Where Teamfox or the Seller expressly approves a refund for a material fulfillment, security, or package-availability problem
If a payment is fully refunded or reversed, the Registry entitlement and related seats can be revoked.
Seller Adjustments
Refunds, disputes, chargebacks, reversals, and associated costs can be deducted from unsettled proceeds, Pool allocations, or future payouts. You agree to provide reasonable information needed to respond to a dispute.
Nothing in this section limits mandatory consumer rights that cannot lawfully be excluded.
10. Taxes
Marketplace
The Seller is responsible for determining its registrations, reporting, invoicing, and tax obligations arising from Marketplace sales, except where applicable marketplace-facilitator or similar law assigns an obligation to Teamfox.
Marketplace checkout enables Stripe automatic tax calculation and collection where configured. Stripe's calculation does not mean Stripe or Teamfox files every return or assumes every tax obligation allocated to the Seller.
Pool
Teamfox administers subscriber-facing tax calculation and payment records for the Pool subscription. Authors are responsible for tax on their revenue-share earnings and for providing information required for reporting or withholding.
Teamfox or Stripe may issue or request tax forms where required by law. You should obtain advice for your jurisdiction.
11. Review, Safety, and Disclosure
Every active version submitted for Pool or Marketplace distribution, and every later version published to that public package, must pass the applicable public-distribution review before general availability.
You must not evade, interfere with, or misrepresent information used by that review. Approval is not an endorsement or warranty and does not transfer responsibility for the package to Teamfox.
We may rescan, restrict, quarantine, reject, or require remediation of a version when new evidence or security information becomes available.
12. Archiving, Removal, and Existing Users
You may archive or unarchive a public package through its Dashboard Danger Zone, subject to current review and checkout restrictions.
Archiving:
- Prevents new sales or Pool distribution
- Deactivates pricing plans for new checkout
- Does not delete package versions
- Does not revoke existing Marketplace purchases
- Does not remove access already held by an otherwise eligible Pool user
Teamfox may restrict or remove access where required by law, a valid copyright process, malware or credential risk, fraud, a serious policy violation, or another urgent safety reason.
13. Prohibited Conduct
In addition to the Acceptable Use Policy, you must not:
- Manipulate downloads, dependencies, subscriptions, accounts, or observations to increase revenue
- Coordinate fraudulent installs, purchases, refunds, disputes, or payouts
- Conceal malware, miners, data collection, network activity, or material package behavior
- Misrepresent ownership, licensing, functionality, security, compatibility, or support
- Bypass package review, entitlement, pricing, fee, or payout controls
We may suspend seller privileges, preserve or offset disputed funds, restrict packages, or terminate accounts in response.
14. Indemnity
You will indemnify Teamfox and its personnel against third-party claims and reasonable costs arising from:
- Your packages, documentation, listings, or support
- Infringement or misappropriation of third-party rights
- Your breach of this Agreement or applicable law
- Misleading product, security, license, or commercial claims
- Taxes or seller obligations allocated to you
We will provide reasonable notice and allow you to participate in the defense. You may not settle a claim in a way that admits liability for or imposes obligations on Teamfox without our written consent.
15. Disclaimers and Liability
Teamfox does not guarantee sales, Pool use, revenue, ranking, review approval, continuous availability, or any particular payout.
Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or another liability that cannot lawfully be excluded.
Subject to that limitation, Teamfox is not liable for indirect or consequential loss, loss of profit, revenue, opportunity, goodwill, anticipated savings, or data. Teamfox's total aggregate liability arising from this Agreement is limited to the greater of:
- The platform fees Teamfox collected from your transactions during the 12 months before the event giving rise to the claim
- £100
16. Termination
Either party may terminate seller participation. Termination does not:
- Reverse completed purchases, payments, fees, refunds, disputes, or accrued obligations
- Remove public packages or existing user entitlements
- End the licenses needed to serve existing entitled users
- Require an immediate payout below the minimum threshold
Subject to holds, offsets, verification, and law, we will process undisputed payable earnings through the normal payout cycle.
Sections concerning package rights, existing users, payment adjustments, taxes, indemnity, liability, disputes, and records survive termination as needed to give them effect.
17. Changes
We may update this Agreement. Material changes will be communicated by email, dashboard notice, or another appropriate method at least 30 days before they take effect for existing Sellers.
Changes do not retroactively alter completed purchases or license terms accepted by a buyer. Where law requires affirmative acceptance, the change will not apply until that acceptance is obtained.
18. Governing Law
This Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over disputes arising from it, subject to mandatory rights that cannot lawfully be excluded.
