Terms of Service

These Terms of Service ("Terms") are an agreement between you and Teamfox LTD, a company registered in England and Wales under company number 09961114 ("Teamfox", "we", "us", or "our"). Teamfox operates the LPM.dev Registry at lpm.dev.

1. Acceptance

By creating an account, purchasing or selling through the LPM.dev Registry, publishing a package, or otherwise using an authenticated Service, you agree to these Terms. If you use the Services for an organization, you represent that you have authority to bind that organization.

Public package pages, documentation, and search may be viewed without an account. These Terms still govern misuse of those public surfaces.

2. Services

The "Services" include the LPM.dev Registry website and APIs, private package hosting, Pool and Marketplace distribution, organization features, encrypted environment sync, tunnel services, Registry AI features, and related hosted functionality.

LPM CLI is a separate, registry-agnostic developer tool. These Terms apply when LPM CLI connects to the LPM.dev Registry or another Teamfox-hosted Service. They do not govern local-only LPM CLI use or access to an independent third-party registry.

We may improve, replace, limit, or discontinue Service features. Any separate written order form or enterprise agreement takes precedence where it expressly conflicts with these Terms.

3. Eligibility

You must be at least 16 years old to create an account. You must be at least 18 years old, or the age of legal majority where you live, to sell packages, open a Stripe Connect account, or enter into another paid commercial arrangement unless a parent, guardian, or authorized organization accepts the applicable agreement.

You may not use the Services where doing so would be unlawful.

4. Accounts and Security

You must provide accurate information and keep it current. You are responsible for:

  • Protecting account credentials, registry tokens, recovery codes, and connected accounts
  • Activity performed through credentials you control
  • Promptly revoking credentials or notifying us if you suspect compromise
  • Maintaining an email address where we can send operational and legal notices

Accounts are personal unless created for an organization. You may not sell, transfer, or share an account in a way that bypasses roles, seats, licensing, or access controls.

5. Packages and User Content

You retain ownership of packages, documentation, profile information, and other material you submit ("User Content").

You represent and warrant that:

  • You have the rights needed to upload, publish, license, and distribute your User Content
  • Your User Content and its distribution do not violate law, third-party rights, or our Acceptable Use Policy
  • Package metadata and commercial claims are accurate and not misleading
  • You will comply with the licenses and notices of included dependencies and third-party material

You grant Teamfox a non-exclusive, worldwide, royalty-free license to host, copy, scan, analyze, reproduce, display, and distribute User Content as needed to provide, secure, promote, and administer the Services. This license continues after archiving or account termination to the extent necessary to serve existing entitled users, preserve security and audit evidence, comply with law, and maintain public Registry records.

Private packages can be deleted according to the documented deletion process. Pool and Marketplace distribution is a permanent package-level choice. Public packages cannot be deleted by their authors, but they can be archived or deprecated. Existing entitled users may retain access to versions that remain available.

6. Public Distribution and Security Review

Pool and Marketplace packages undergo mandatory review before public distribution. We may restrict, quarantine, reject, rescan, archive, or remove access to a package for security, legal, or policy reasons.

Automated and human review reduces risk but does not guarantee that a package is secure, accurate, lawful, maintained, or suitable for a particular purpose. You remain responsible for evaluating packages before installing, executing, purchasing, or redistributing them.

7. Paid Services

Prices are displayed before purchase and may exclude applicable taxes. Payment processing, Marketplace seller onboarding, and tax calculation use Stripe.

You may cancel a recurring Paid Service through the website. Cancellation prevents future renewal and normally takes effect at the end of the current paid billing period. Payments already made are non-refundable, including for partially used billing periods, except where applicable law requires otherwise or we expressly approve a correction for a duplicate, failed, or invalid transaction.

Disabling or canceling a Paid Service does not reverse charges already incurred, platform fees already earned, usage overages, chargebacks, or other outstanding amounts.

Marketplace sales and Pool author participation are also governed by the Marketplace Seller Agreement. A package purchase creates Registry access only as described at checkout; use of the package remains subject to the package author's applicable license terms.

8. Acceptable Use

You must comply with our Acceptable Use Policy. You may not use the Services to distribute malicious code, infringe rights, interfere with infrastructure, evade security or access controls, manipulate usage or revenue, or facilitate unlawful activity.

9. Third-Party Services and Content

The Services integrate with third parties such as Stripe, Supabase, Cloudflare, GitHub, GitLab, PostHog, OpenAI, OpenRouter, Resend, and package-owner-selected analytics providers. Their services and terms may apply separately.

Packages are supplied by their authors, not by Teamfox. Unless Teamfox is identified as the package author, we do not control or endorse a package's code, documentation, support, license, or claims.

10. Intellectual Property

The Services, excluding User Content and third-party material, are owned by Teamfox or its licensors. These Terms do not grant you rights to Teamfox names, logos, domains, software, or other intellectual property except the limited right to use the Services under these Terms.

If you provide feedback, you grant Teamfox permission to use it without restriction or payment, provided we do not publicly identify you as its source without permission.

Copyright complaints are handled under our DMCA Copyright Policy.

11. Suspension and Termination

You may stop using the Services or request account deletion at any time. Account restoration and deletion periods are described in our Privacy Policy.

We may restrict, suspend, or terminate access when reasonably necessary to:

  • Address a security threat, compromised credential, fraud, or abuse
  • Enforce these Terms or another applicable agreement
  • Respond to legal process or protect third-party rights
  • Prevent harm to users, packages, infrastructure, or the public
  • Address unpaid amounts

Where appropriate, we will provide notice and an opportunity to appeal. Immediate action may be necessary for security, fraud, legal, or safety reasons.

Termination does not affect accrued payment obligations, existing buyer rights, package licenses already granted, public-package retention, or provisions intended to survive termination.

12. Sanctions and Export Controls

You may not use the Services if doing so would violate applicable sanctions, export-control laws, or restrictions concerning designated persons, entities, territories, software, or transactions.

You represent that you are not prohibited from using the Services under laws applicable to you or Teamfox. We may restrict availability in a country or region for legal, compliance, security, payment, or operational reasons.

13. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available." We do not promise uninterrupted availability or that packages, scans, AI output, tunnel traffic, documentation, or third-party integrations will be error-free, secure, or fit for a particular purpose.

Nothing in these Terms affects statutory rights that cannot lawfully be excluded, including rights available to consumers.

14. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to that limitation, Teamfox is not liable for indirect or consequential loss, loss of profits, revenue, business, goodwill, anticipated savings, or data arising from the Services.

To the fullest extent permitted by law, Teamfox's total aggregate liability arising from the Services is limited to the greater of:

  • The amount you paid directly to Teamfox for the affected Services during the 12 months before the event giving rise to the claim
  • £100

15. Indemnity for Publishers and Business Users

If you publish or sell packages, or use the Services for a business, you will indemnify Teamfox against third-party claims and reasonable costs arising from your User Content, infringement of third-party rights, misleading commercial claims, unlawful conduct, tax obligations allocated to you, or material breach of these Terms.

We will provide reasonable notice of an indemnified claim and allow you to participate in its defense. You may not settle a claim in a way that admits liability for or imposes obligations on Teamfox without our written consent.

16. Changes

We may update these Terms. We will post the revised version with a new "Last updated" date and provide reasonable advance notice of material changes by email, dashboard notice, or another appropriate method.

Changes do not retroactively alter completed purchases or licenses. Where law requires affirmative consent, the change will not apply until that consent is obtained.

17. Governing Law

These Terms are governed by the laws of England and Wales.

If you are a consumer, you retain any mandatory rights and may bring proceedings in courts available under applicable consumer law. If you use the Services for a business, the courts of England and Wales have exclusive jurisdiction over disputes arising from these Terms.
